Reseller Policy

By purchasing MarketMajesty's services for resale, you agree to adhere to this Reseller Policy.

To ensure that authorized MarketMajesty resellers ("Resellers") can maintain healthy margins and ensure that end-users of MarketMajesty receive a quality sales and customer service experience, MarketMajesty has announced this Reseller Policy (the "Reseller Policy"). MarketMajesty believes that its end-user customers are best served if they have resellers who market MarketMajesty Services as premium branded products and provide an outstanding level of service and support to their end-user customers.

MarketMajesty adopts this Resale and Quality Policy (this "Policy") and requires that each person, business, or entity (as applicable, a "Reseller") who purchases its services (the "Services") for resale or other distribution agree to comply with this Policy. Accordingly, the terms of this Policy are incorporated and added to any contract entered into between MarketMajesty and the Reseller concerning the purchase or sale of the Services by the Reseller.

Sales to End-Users Only.

Unless otherwise agreed with MarketMajesty in writing, the Reseller may only purchase Services for resale to consumers and end-users, and the Reseller may not resell Services to suppliers or distribute them in any way.

Prohibited Internet Sales.

The reseller is prohibited from selling our branded Products on the Internet unless they apply, are approved by MarketMajesty, and execute an authorized Internet Reseller Agreement or other similar agreements regulating the way they sell online.

Restricted Sales to Territory.

If the Reseller purchases Services under a contract requiring the Reseller to resell the Services in a geographic territory, the Reseller must comply with that obligation.

Intellectual Property.

Unauthorized use of the intellectual property of our Services is prohibited. Resellers who comply with this Policy have a limited, non-exclusive, non-sublicensable, and revocable license to use MarketMajesty's trademarks and copyrights in connection with the sale of the Products. The Reseller will not alter, modify, or change any trademark or copyright, nor will the Reseller use any trademark or copyright other than for the promotion and sale of the Services, nor will the Reseller use any trademark or copyright in any way that adversely affects such trademark or copyright. Failure to comply with the Policy will result in the automatic revocation of the license granted herein and the complete loss of the rights granted herein. MarketMajesty reserves the right to revoke this license at any time for any reason or no reason.

Inspection Service.

MarketMajesty will immediately inspect all Services once completed and will promptly return in the terms of sale any Service that appears incomplete or unsatisfactory at the time of inspection.

Sales Practices

The Reseller will conduct its business in a reasonable and ethical manner at all times and will not engage in any deceptive, misleading, or unethical practices or advertising at any time nor make any warranty or representation regarding the Services, except as expressly authorized by MarketMajesty. The Reseller must comply with applicable laws, rules, regulations, and policies related to advertising, sale, and marketing of the services.

Customer Service Level.

The Reseller will provide the highest levels of customer service. The Reseller and the Reseller's sales staff must be familiar with the special features of all MarketMajesty Services marketed for sale and must acquire sufficient product knowledge to advise customers on the selection and safe use of the services, as well as any applicable warranty, guarantee, or return policy.

Customer Service Channels.

The Reseller will maintain email response and telephone customer service functions as required by the original Agreement to handle customer complaints, returns, and other customer service functions. Upon request by MarketMajesty, the Reseller will provide any report or other information requested by MarketMajesty, regarding a particular Service to determine the date of purchase of the Service by the Reseller, the location where the Service was acquired, and the dates on which the Service was sold or performed by the Reseller to a purchaser.

Consumer Safety and Service Cancellation.

The Reseller will cooperate with MarketMajesty concerning any consumer safety claim investigation or any service cancellation assessment. To ensure the safety and well-being of the end-users of the Services, the Reseller agrees to cooperate with MarketMajesty concerning any Service cancellation or other consumer safety information dissemination efforts.

Service Failure.

If a significant amount of Services purchased by the Reseller fails, the Reseller will immediately report such an event to MarketMajesty.

Reporting Unauthorized Resellers.

If the Reseller has information, or reasonably suspects, that any person is purchasing and reselling or distributing Services in a manner not authorized by MarketMajesty, the Reseller must immediately notify MarketMajesty.

Other Information, Documents, and Reports.

The Reseller must provide MarketMajesty with all information, documents, and supplemental reports that MarketMajesty may request to validate the Reseller's compliance with this Policy and to support MarketMajesty's warranty support and customer service obligations and initiatives.

Unilateral Policy Changes.

MarketMajesty sales staff has no authority to modify or grant exceptions to this Unilateral Policy. All questions related to the interpretation of this Policy should be directed to the Reseller Policy Committee at info@marketmajesty.com.

Termination and Liability Due to Policy Violation.

If MarketMajesty determines that the Reseller is violating the Reseller Policy, it may undertake appropriate legal actions, including, but not limited to, refusing to accept orders from the Reseller or instructing its distributors to refuse to accept orders from the Reseller.

Policy Modification and Changes.

MarketMajesty reserves the right to update, amend, or modify this Reseller Policy at any time. Unless otherwise stated, such amendments will take effect immediately, and the Reseller's continued use, advertising, offering for sale, or sale of the Products will be deemed acceptance of the amendments by the Reseller.
